Join Omni‑Health as our In‑House Legal Counsel and be the go‑to partner for commercial contracting. As part of this role, you will draft, review and negotiate customer, vendor and technology agreements across our locations—turning legal risk into clear, practical advice that helps the business move. You’ll also build and run a simple, reliable contract management system (register, workflows and key‑date tracking) so obligations, renewals and risks are visible, owned and actioned—on time.
Based anywhere in Sri Lanka (remote) with reliable connectivity.
Key Responsibilities
- Draft, review and negotiate a range of commercial agreements (including customer/service, vendor/supplier, SaaS/technology, NDAs, SLAs, consultancy and partnership agreements) across Omni‑Health locations.
- Identify and clearly communicate legal, commercial and operational risks, providing practical recommendations and concise review notes/issue lists for stakeholders.
- Maintain and improve templates, standard terms and clause playbooks to support consistent contracting and faster turnaround.
- Own contract lifecycle management: intake, drafting, approvals, signing, storage, version control, and renewals/terminations.
- Design, implement and maintain a central contract register/repository, ensuring key dates, obligations, owners and risks are accurately captured and monitored.
- Establish simple workflows, reminders and reporting (dashboards/summaries) to ensure timely action on obligations and management visibility of key renewals, expiries and risks.
- Support day‑to‑day contract and regulatory queries, escalating complex matters and coordinating with external counsel where required.
- Help embed compliance requirements (e.g. confidentiality, data protection, anti‑bribery/ethics) into contracting practices and highlight relevant legal/regulatory developments to management.
- Develop lightweight guidance and training for non‑legal staff to improve adherence to contracting processes and documentation standards.
Qualifications & Experience
- Bachelor of Laws from a recognised university
- Attorney‑at‑Law qualification and admission to practice in Sri Lanka
- Approximately 3–5 years’ post‑qualification experience in commercial/contracts work, gained in a law firm and/or in‑house legal team.
- Proven experience drafting, reviewing and advising on commercial contracts (e.g. services, SaaS/technology, vendor, NDAs, SLAs).
- Ideal but not required: Exposure to cross‑border matters or multinational clients.
- Strong contract law and contract interpretation skills, with excellent drafting and attention to detail.
- Comfortable using standard productivity tools (e.g. Microsoft 365) to build trackers and registers.
- Excellent communication and interpersonal skills, able to work effectively with stakeholders across multiple countries.
